Comments: On January 1, 2025, Grayscale Investments, LLC (GSI) completed an internal corporate reorganization where it merged with Grayscale Operating, LLC, a subsidiary of Digital Currency Group, Inc. (GSO), with GSO as the surviving entity. This merger resulted in GSO inheriting all rights and obligations of GSI, including Sponsor Contracts tied to the Grayscale Litecoin Trust (the Trust). The reorganization is not expected to materially affect Trust operations. Additionally, as part of this reorganization, GSO assigned certain sponsorship contracts to Grayscale Investments Sponsors, LLC (GSIS), an affiliate and additional sponsor. GSIS assumed GSO's obligations under these contracts without altering their terms. Following this, on January 3, 2025, GSO voluntarily withdrew as a Sponsor of the Trust, effective after a 120-day notice period, positioning GSIS as the sole remaining Sponsor.
